Vendor Terms and Conditions

Welcome to RRRa Green. These terms and conditions ("Terms") govern your use of the RRRa Green platform ("Platform") as a vendor ("Vendor", "you", "your"). By registering as a Vendor, you agree to be bound by these Terms. Please read them carefully.


1. The Role of RRRa Green (Our Role)

1.1. Platform Provider: RRRa Green provides an online marketplace platform that connects local producers and artisans (Vendors) with local customers ("Customers").

1.2. Not a Retailer or Shipper: You acknowledge that RRRa Green is **not** a retailer, logistics provider, or delivery service. We do not buy, sell, store, or physically handle any products. Our role is strictly limited to facilitating the transaction between you and the Customer.

1.3. Not a Party to Sale: The contract for the sale and delivery of products is directly between you (the Vendor) and the Customer. RRRa Green is not a party to this contract.

2. Vendor Obligations (Your Responsibilities)

2.1. Product Information: You are solely responsible for the accuracy, completeness, and legality of all product information you list on the Platform, including but not limited to names, descriptions, prices, stock levels, and images.

2.2. Product Quality and Safety: You warrant that all products you sell are safe, of high quality, fit for purpose, and comply with all applicable local, state, and national laws and regulations (including food safety standards, labeling requirements, etc.).

2.3. Order Fulfillment: You are solely responsible for fulfilling all orders placed by Customers for your products in a timely and professional manner.

2.4. Stock Management: You are responsible for keeping your product stock levels accurate and up-to-date on the Platform to prevent overselling.

3. Delivery and Pickup (Crucial Section)

3.1. Vendor's Responsibility: You, the Vendor, are **solely and entirely responsible for the delivery or pickup arrangement** for all products sold through the Platform.

3.2. Delivery Options: The Platform provides several delivery and pickup options that you can enable for your store (e.g., "Vendor Self-Delivery", "Local Pickup"). By enabling an option, you are committing to providing that service for your Customers.

3.3. Fulfillment of Chosen Option: When a Customer selects and pays for a specific delivery or pickup option at checkout, you are legally bound to fulfill the order using that exact method.

  • If "Vendor Self-Delivery" is chosen, you must arrange for the delivery of the product to the Customer's specified address within the promised timeframe.
  • If "Local Pickup" is chosen, you must ensure the product is ready for collection at your specified pickup location during your stated hours.

3.4. Delivery Costs and Communication: You are responsible for setting any costs associated with your delivery options and for all communication with the Customer regarding delivery times, status, and any potential delays.

3.5. Limitation of Liability: RRRa Green shall have **no liability** for any issues arising from the delivery or pickup process, including but not limited to delays, damages, lost items, or disputes between you and the Customer or any third-party courier you may use.

4. Payments, Fees, and Payouts

4.1. Payment Processing: RRRa Green facilitates payment from the Customer to you through our third-party payment processor.

4.2. Commission: In exchange for use of the Platform, you agree that RRRa Green will deduct a commission fee (the "Commission") from the total sale price of each transaction. The current Commission rate will be communicated to you separately and may be updated from time to time with prior notice.

4.3. Payouts: Your earnings (total sales minus the Commission) will be paid out to your designated bank account on a regular schedule, as defined in your Vendor Dashboard or a separate payout agreement.

4.4. Taxes: You are solely responsible for determining and remitting all applicable taxes (e.g., GST, sales tax) on your sales.

5. Cancellations, Returns, and Disputes

5.1. Your Return Policy: You are responsible for creating and clearly communicating your own return and refund policy to Customers on your store page. You must adhere to your stated policy.

5.2. Customer Service: You agree to provide a high level of customer service and to respond to Customer inquiries and issues promptly and professionally.

5.3. Dispute Resolution: You agree to make a good-faith effort to resolve any disputes directly with the Customer. RRRa Green may, at its discretion, assist in mediating disputes but is not obligated to do so and will not be held liable for the outcome.

6. Term and Termination

6.1. Termination by You: You may terminate your Vendor account at any time by providing written notice to us, subject to fulfilling any outstanding orders.

6.2. Termination by Us: RRRa Green reserves the right to suspend or terminate your Vendor account at any time, without notice, for any breach of these Terms, including but not limited to receiving poor customer feedback, failing to fulfill orders, or listing illegal/prohibited items.

7. Indemnification

You agree to indemnify, defend, and hold harmless RRRa Green and its affiliates, officers, and employees from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms, your improper use of the Platform, or your violation of any law or the rights of a third party (including issues related to your products or your delivery services).

8. Modifications to Terms

RRRa Green reserves the right to modify these Terms at any time. We will provide notice of significant changes. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
